CODEPOLDER / REPREVI
Terms of service
Terms version: 2026-10-26.2
Provider and agreement
These terms govern paid website migration and consultation services supplied by Codepolder / Reprevi. The provider’s registration and tax details appear below. The contract comprises the purchased service description, these terms and any written scope agreed by the parties. The version accepted at checkout is retained with the order. Payment confirmation is required before a commercial order is accepted.
Prices and scope
The consultation costs €99 for 60 minutes. Migration packages cover only their published page, CMS/module, database and infrastructure limits. Prices are in EUR and include VAT where applicable; the final total is shown before payment. No unlimited work, hosting, cloud usage, domains, licences, ongoing support or incident investigation is included unless expressly stated. A materially inaccurate project description requires a separately agreed change, adjustment or cancellation under applicable law; it does not oblige us to deliver additional work at the package price.
Customer obligations
Before work starts, the customer must supply complete, accurate and usable content, source code, assets, licences, exports, function and integration inventories, test cases, decisions and authorised technical access. The customer warrants lawful authority over the systems and materials, obtains third-party permissions, appoints a decision-maker and remains responsible for data legality and their own regulatory obligations. Do not submit passwords or sensitive records through the order form. Use the agreed secure channel, temporary accounts and least-privilege access.
Backups and technical requirements
The customer must maintain independent, usable backups and verify recovery before changes. Customer infrastructure must provide a supported operating system, sufficient CPU/RAM/storage, the agreed container or runtime support, network/DNS/TLS control, required ports and credentials, and compatible databases and external APIs. We may stop work where access, permissions, backups or safety are inadequate. Time spent resolving customer-side defects or unsupported environments is additional work unless included in scope.
Turnkey delivery and alternatives
The agreed service includes implementation, checks, handover and deployment on the customer’s infrastructure when the technical requirements and authorised access are provided. If those conditions are unavailable, the agreed result may instead be delivered as an image, container or Docker package with build/run instructions. Such delivery satisfies the corresponding delivery milestone when it conforms to the agreed specification; subsequent hosting or installation on a different environment requires agreement. Ownership of infrastructure accounts and third-party charges remains with the customer.
Schedule and cooperation
Delivery estimates start only after payment and receipt of all required materials, access and approvals. The advertised simple-site and assessed-project ranges are conditional, not universal deadlines. Customer delays, changing scope, external approvals, outages and force majeure extend the schedule reasonably. We may pause until missing items are supplied and charge separately agreed additional work. Consultation availability is Monday–Saturday, 09:00–21:00 fixed CET (UTC+1); local times are a conversion. Only a paid confirmation establishes an appointment.
Acceptance and defects
The customer must test the agreed scenarios promptly and report reproducible deviations with evidence. Business customers must notify material defects within seven calendar days of delivery; statutory rights and hidden defects are not waived by that period. We are entitled to a reasonable opportunity to remedy an attributable, in-scope defect before other contractual remedies are pursued, subject to mandatory law. New functions, changed preferences and defects in customer or third-party systems are not defects in the agreed deliverable.
Rights and confidential material
After full payment the customer receives the agreed deliverables and rights necessary to use them. Pre-existing tools and third-party components retain their own ownership and licence conditions. The customer may supply only material they are entitled to use and must remove unnecessary personal data. Each party protects confidential information and access within its control. Production personal-data processing may require a separate processing agreement before access is granted.
Liability limits
To the maximum extent permitted by law, liability to business customers for attributable direct loss is limited in aggregate to the fees paid for the affected order. We exclude indirect or consequential loss, lost revenue/profit, loss of opportunity and losses arising from customer omissions, unavailable backups, unauthorised changes or third-party failures. We do not guarantee rankings, uninterrupted operation, complete security or a fixed saving. No limitation excludes liability for intent, deliberate recklessness, death/personal injury or any liability or consumer remedy that cannot lawfully be excluded. Mandatory data-protection duties remain in force.
Consumer withdrawal and early performance
Where mandatory consumer rules apply, a consumer may withdraw within 14 days after conclusion without giving reasons. Use the continuously available withdrawal function through your private order link, the withdrawal page, or send a clear statement to the contact shown below identifying the contract. We acknowledge online statements by email. Starting within the period requires a separate express request; the consumer acknowledges loss of the withdrawal right only once the service is fully performed, where the law permits. If withdrawal occurs after requested partial performance, a lawful proportionate amount may be payable. Applicable refunds are made without undue delay within the statutory period, normally to the original payment method. Mandatory rights prevail over any cancellation policy.
Cancellation, complaints and termination
Request appointment changes or commercial cancellation through the contact below, quoting the order. A new appointment depends on availability. The €99 fee does not automatically credit a later migration. We may suspend or terminate for unlawful activity, material non-cooperation or security risks, subject to notice, a reasonable cure opportunity where appropriate, and mandatory refund rights. Complaints should identify the paid order and requested remedy. Statutory, privacy and withdrawal requests never require an additional consultation purchase.
Applicable law
Dutch law applies, without depriving consumers of mandatory protections available under applicable residence-country law. For business disputes the competent court in the Netherlands has jurisdiction; mandatory consumer venue rules prevail. An invalid provision is limited or severed without replacing mandatory rights. Changes to published terms do not retroactively alter an accepted order.
